Subject: Management Board recommendation concerning allocation of the net profit obtained in 2022

The Management Board of CD PROJEKT S.A. with its registered office in Warsaw (the “Company”) hereby announces that on 8 May 2023 it adopted a resolution concerning the adoption and submission to the Ordinary General Meeting of the Company of a recommendation concerning the allocation of the Company’s net profit for 2022.
The Management Board recommends that 99,910,510.00 PLN be allocated to a dividend at 1.00 PLN per each share participating in the dividend, and that the remaining portion of the net profit in the amount of 241,162,310.59 PLN, be allocated to the Company’s reserve capital.
99,910,510 of the Company’s shares described as participating in the dividend, corresponds to the total number of Company’s shares deducted by the Company’s own shares held by the Company as of the publication date of this current report (860,290 shares) as a result of the share buyback carried out between 5 and 24 October 2022. The resolution concerning redemption of these shares was adopted by the General Meeting of the Company on 18 April 2023. The redemption will become effective at the moment the corresponding reduction in the Company’s share capital is registered by the appropriate court.
In conjunction with the above, the Management Board recommends the following schedule:
- dividend record date: 13 June 2023,
- dividend payment date: 20 June 2023.
This recommendation will be submitted to the Supervisory Board for endorsement. The final decision regarding allocation of profit and payment of a dividend rests with the Ordinary General Meeting.
