Subject: Appointment of the Audit Committee

The Management Board of CD PROJEKT S.A., headquartered in Warsaw, Jagiellońska 74 (hereafter referred to as “the Company”) announces that on 11 October 2017 the Supervisory Board of the Company, acting in compliance with Art. 128 section 1 of the Act on Statutory Auditors, Audit Firms and Public Supervision of 11 May 2017, appointed an Audit Committee consisting of the following persons:
– Katarzyna Szwarc – Chairwoman of the Audit Committee
– Michał Bień – Audit Committee Member
– Maciej Nielubowicz – Audit Committee Member
The abovementioned Audit Committee meets independence criteria as well as all other criteria specified in Art. 128 section 1 and Art 129 sections 1, 3, 5 and 6 of the Act on Statutory Auditors, Audit Firms and Public Supervision in the sense that (i) at least one member of the Audit Committee possesses knowledge and skills related to accounting or auditing financial statements; (ii) at least one member of the Audit Committee is familiar with the market segment in which the Company conducts business operations, or each member of the Audit Committee is familiar with a specific branch of said market segment; (iii) the majority of Audit Committee members, including the Chairman of the Audit Committee, are independent of the Company.
The duties of the Audit Committee had heretofore been discharged by the Supervisory Board.
In accordance with the adopted Audit Committee Regulations, Audit Committee Members are appointed by the Supervisory Board from among its members for the duration of the Supervisory Board term.
