Subject: Information regarding the intention of the future standing as a candidate for the position in the Supervisory Board of the Company and future resignation from the position of the Board Member together with the decision on the changes concerning roles performed by the Members of the Management Board

The Management Board of CD PROJEKT S.A. with a registered seat in Warsaw (“the Company”) informs that on 5 October 2023 Mr. Adam Kiciński has notified the Company of his intention of the future standing as a candidate for the position of the Member of the Supervisory Board of the Company starting from 2025, and, as a consequence – of the intention of the future resignation from the position of the Member of the Management Board as of the end of 2024. The full text of the letter from Mr. Adam Kiciński to the Company has been attached to this report.
Additionally, in connection with the decision mentioned above, the Management Board has decided that effective as of 1 January 2024 the internal division of responsibilities related to specific areas of the Company’s business activities among the Members of the Management Board will be updated, and, as a consequence – the roles and function names of the Members of the Management Board will be changed as follows:
(i) Mr. Adam Kiciński will perform the role of Chief Strategy Officer (CSO);
(ii) the role of the Chief Executive Officer (CEO) will be performed jointly by: Mr. Adam Badowski, currently in the role of Chief Creative Officer, affiliated with the Company for 20 years and Mr. Michał Nowakowski, currently in the role of Chief Commercial Officer, affiliated with the Company for 18 years; Mr. Adam Badowski and Mr. Michał Nowakowski will be therefore using the function names – Joint Chief Executive Officer (Joint CEO).
