Subject: Conditional registration of Series M shares in the Central Securities Depository of Poland

In relation to Current Report no. 44/2020 of 23 September 2020 the Management Board of CD PROJEKT S.A., headquartered in Warsaw, Jagiellońska 74 (hereafter referred to as “the Company”) hereby announces that, according to a notice received on 17 November 2020, on 17 November 2020 the Management Board of the Central Securities Depository of Poland (Krajowy Depozyt Papierów Wartościowych S.A., hereafter referred to as “KPDW”) had adopted decision no. 1199/2020 which approves registration of 4,534,624 Series M ordinary bearer shares, with nominal value of 1 PLN per share, issued following shared capital’s conditional increase pursuant to Resolution no. 21 of the Ordinary General Shareholders Meeting held on 24 May 2016, concerning issue of Series B subscription warrants with exclusion of pre-emption rights for existing shareholders, entitling holders to claim Series M shares, and conditional increase in the Company share capital via issue of Series M shares with exclusion of pre-emption rights for existing shareholders in order to facilitate implementation of the Incentive Program, and the corresponding changes in the Company Articles, and assigns the code ISIN PLOPTTC00011 to said shares under the condition that the Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie S.A., hereafter referred to as “GPW”) admits Series M shares to its regulated market. 4.534.624 Series M shares will be registered in KPDW within three days of the KPDW having received a document to the effect that these shares have been admitted to the GPW regulated market, but not earlier than on the admission date specified in the aforementioned document.
The Company has already filed a motion to admit Series M shares to the GPW regulated market.
